01
How it works
Every claim in a data room, deck or plan is treated as an assertion to be tested, not as a fact. Saloa runs each input through two layers: deterministic code checks (arithmetic, dates, source weight) and a debate between four separate AI roles. The result is one dossier with one status and one next move.
02
Evidence statuses
Every claim is assigned one of six statuses. The Judge then issues a final judgement.
- FACT
- Backed by an authoritative record: a Tier 1 source, two independent Tier 1 or Tier 2 sources, or a seller-supplied figure that reconciles with an independent Tier 1 or Tier 2 source.
- OBSERVATION
- What a source states, recorded as stated: a figure in a model, a claim in a management deck, a management answer.
- INFERENCE
- A conclusion drawn from observations, with the reasoning shown.
- ASSUMPTION
- A forecast, target or hypothesis without supporting evidence.
- CONTRADICTION
- Two cited statements that cannot both hold, on an arithmetic, structural, legal, documentary or temporal basis.
- UNKNOWN
- Evidence is missing, or a deadline has passed without proof that it was met. Saloa says so and names who can resolve it. It does not guess.
An inference or an assumption is never promoted to a fact.
03
The four-voice debate
Before a judgement is issued, the evidence is debated by four roles.
- Creator
- Builds the strongest case for the upside.
- Advocate
- Builds the strongest defence of management's logic.
- Devil
- Looks for anomalies, hidden risks and gaps.
- Judge
- Reads the closed debate, weighs it against the source tiers, and refuses to promote an inference or assumption to a fact.
Code checks enforce the role boundaries. The debate reduces single-perspective bias.
04
Source tiers
Evidence is weighed by where it comes from.
- Tier 1Official registries and filings
- Company registries (KvK, Companies House, SEC), statutory filings, regulators and court records. An audited annual account is FACT only with an unqualified auditor's opinion and a verified register match.
- Tier 2Independent reputable sources
- Independent financial media and independent research.
- Tier 3Seller- or subject-supplied
- Data room files, models, ledgers, trial balances, exports, CIM, contracts, management presentations, the target's own website and management answers. Never FACT on their own.
- Tier 4Aggregators and signals
- Job boards, review sites, blogs and social media. Never FACT; recorded as third-party signals.
05
The decision contract
Every audit ends in a single-page core dossier, with the full audit trail behind it, and one status:
NO_ACTIONACQUIRE_INFORMATIONMORE_EVIDENCEHUMAN_DECISIONDEEP_AUDIT_REQUIRED
and one next move. Saloa states what the evidence supports and what to do next to test it. It does not issue a buy or pass verdict. The decision stays with you.
06
Data handling
- Isolated by design
- Each data room is locked to its owner at the database level (row-level security). Cross-account attacks were tested on 2 October 2026 in 20 tests; all were blocked.
- No training by Saloa
- Saloa does not train AI models on your data. Each sub-processor's retention and training terms apply; see the sub-processor list.
- Storage
- Our database runs in Frankfurt. AI processing may involve providers outside the EU.
- Deletion
- Removed from live systems when you delete. Backups expire after 30 days (standard automated rolling retention). Data already sent to AI providers is subject to their retention terms.
